Terms and conditions

General Terms and Conditions (GTC)

Version 1.0 | Effective Date: December 23, 2025

§1 Scope of Application

1. These General Terms and Conditions ("GTC") apply to all business relationships between BXG Tech GmbH, represented by Wenqiang Wu, located at Mühlenstraße 70c, 25421 Pinneberg, Germany (Phone: +49/4101/3748744 | Email: info@bxgtech.de) (hereinafter referred to as the "Provider"), and its customers (hereinafter referred to as the "Customer").

2. These GTC apply to both consumers within the meaning of Section 13 of the German Civil Code (BGB) and entrepreneurs within the meaning of Section 14 BGB.

3. A "Consumer" means any individual acting for purposes outside their trade, business, craft, or profession. An "Entrepreneur" means any natural or legal person, or partnership with legal capacity, acting in the exercise of their commercial or independent professional activity when entering into a contract.

4. Any deviating terms and conditions proposed by the Customer shall not be recognized and are expressly rejected, even if the Provider does not explicitly object to their inclusion.

§2 Subject Matter of the Contract

1. The Provider supplies sanitary products across the European Union to DIY stores, specialist trade partners, installers (both brick-and-mortar and online channels).

2. Detailed descriptions of products and services are set out in the product information published on the Provider's website (www.bxgtech.de) and in any individual agreements concluded between the Provider and the Customer.

§3 Conclusion of Contract

1. The presentation of products on the Provider's website constitutes an invitation to treat and does not constitute a legally binding offer.

2. Placing an order for desired products constitutes a binding offer by the Customer to enter into a purchase contract.

3. The Provider will confirm receipt of the order by email. This order confirmation does not constitute acceptance of the offer. The purchase contract is concluded only upon the Provider's express written acceptance or upon dispatch of the ordered products.

4. The contract language is German.

§4 Prices and Payment Terms

1. All listed prices are final consumer prices and include statutory Value Added Tax (VAT).

2. The Customer may pay the purchase price by advance payment, credit card, direct debit, PayPal, or any other payment method offered on the Provider's website.

3. The Provider reserves the right to exclude certain payment methods on a case-by-case basis.

4. If the Provider fulfills an order by partial deliveries, the Customer shall only incur shipping costs for the first partial shipment. If partial deliveries are made at the Customer's request, shipping costs will be charged for each separate shipment.

5. If the Customer validly withdraws from the contract, they are entitled to reimbursement of the outward shipping costs already paid, provided the statutory requirements are met. In the event of a withdrawal, the Customer shall bear the direct costs of returning the goods.

6. Goods are shipped via postal service. For Consumers, the Provider bears the risk of loss or damage during transit.

7. The purchase price is due immediately upon conclusion of the contract. If a payment date is fixed by calendar, the Customer shall be in default upon missing the deadline. Default interest shall accrue at a rate of 5 percentage points above the base rate per annum for Consumers, and 9 percentage points above the base rate per annum for Entrepreneurs.

8. The obligation to pay default interest does not preclude the Provider from claiming further damages resulting from the default.

§5 Delivery and Shipping Costs

1. Delivery will be made to the delivery address specified by the Customer.

2. The Provider is entitled to make partial deliveries insofar as this is reasonable for the Customer.

3. Shipping costs will be communicated to the Customer prior to completion of the purchase and shall be borne by the Customer.

4. Stated delivery periods commence upon order confirmation, subject to prior receipt of payment (except for purchases on account). If no delivery period is stated for a product, the default delivery period is 7 working days.

5. If a product selected by the Customer is unavailable at the time of ordering, the Provider will notify the Customer immediately in the order confirmation. If the product is permanently unavailable, the Provider will not accept the order and no contract will be formed.

6. If the product is only temporarily unavailable, the Provider will likewise notify the Customer immediately in the order confirmation.

§6 Retention of Title

1. Delivered goods shall remain the property of the Provider until full payment of all outstanding amounts has been received.

2. The Customer undertakes to handle the goods with care and refrain from any action that may impair the Provider's ownership rights.

§7 Statutory Right of Withdrawal for Consumers

Withdrawal Policy

Right of Withdrawal

You have the right to withdraw from this contract within fourteen (14) days without giving any reason.

The withdrawal period expires fourteen (14) days from the day on which you, or a third party nominated by you (other than the carrier), take physical possession of the goods.

To exercise your right of withdrawal, you must inform us, BXG Tech GmbH, Wenqiang Wu, Mühlenstraße 70c, 25421 Pinneberg, Germany (Email: info@bxgtech.de), of your decision to withdraw by means of a clear statement (e.g., a posted letter or email). You may use the attached model withdrawal form, though this is not mandatory.

To meet the withdrawal deadline, it is sufficient for you to send the notification of your exercise of the right of withdrawal before the withdrawal period expires.

Effects of Withdrawal

If you withdraw from this contract, we shall reimburse all payments received from you, including the cost of standard delivery (excluding additional costs arising from your choice of a non-standard delivery method), without undue delay and no later than fourteen (14) days from the day we receive notice of your withdrawal.

We will use the same payment method for reimbursement as you used for the original transaction, unless expressly agreed otherwise. You will not incur any fees for this reimbursement.

We may withhold reimbursement until we have received the returned goods or you have supplied proof of having returned them, whichever is earlier.

You shall return the goods to us without undue delay and in any event no later than fourteen (14) days from the day you notify us of your withdrawal. The deadline is met if you dispatch the goods before the fourteen-day period expires.

You shall bear the direct costs of returning the goods.

You shall only be liable for any diminished value of the goods if such loss in value results from handling the goods beyond what is necessary to establish their nature, characteristics, and functioning.

Exceptions to the Right of Withdrawal

The right of withdrawal does not apply to the following contracts:

- Contracts for the supply of goods made to the consumer's specifications or clearly personalized;

- Contracts for the supply of goods liable to deteriorate or expire rapidly;

- Contracts for the supply of sealed goods (for health protection or hygiene reasons) if the seal has been broken after delivery;

- Contracts for the supply of goods which are, by their nature, inseparably mixed with other goods after delivery;

- Contracts for the supply of alcoholic beverages where the price is agreed at the time of contract, delivery can only occur after 30 days, and the value depends on market fluctuations beyond our control;

- Contracts for the supply of audio/video recordings or computer software in sealed packaging if the seal is broken after delivery;

- Contracts for the supply of newspapers, periodicals, or magazines (excluding subscription contracts);

- Contracts for the supply of goods whose price depends on fluctuations in the financial market which we cannot influence and which may occur within the withdrawal period.

§8 Warranty and Liability

1. Statutory warranty provisions apply. The Provider is liable for defects in quality or title in accordance with Sections 434 et seq. of the German Civil Code (BGB). The limitation period for statutory defect claims is two (2) years from delivery. For Entrepreneurs, the warranty period is twelve (12) months.

2. Any seller warranties issued by the Provider or manufacturer warranties accompanying specific products supplement (and do not replace) the statutory defect claims outlined in paragraph (1). Details of warranty scope are set out in the warranty documentation enclosed with the product.

3. The Provider is fully liable for intent and gross negligence. Liability under warranty is independent of fault. For slight negligence, liability is limited to cases involving injury to life, body, or health, or breach of material contractual obligations. Liability for slightly negligent breach of material obligations is limited to foreseeable, typical contract-related damages, except where unlimited liability applies under the Product Liability Act or for personal injury. Further liability for damages is excluded. These provisions also apply to breaches of duty by the Provider's vicarious agents.

4. "Material contractual obligations" are those obligations whose fulfillment is essential for the proper execution of the contract and on which the contracting parties may regularly rely.

5. If the Customer is an Entrepreneur, liability for slight negligence is excluded entirely, unless the claim involves material contractual obligations, injury to life/body/health, warranty obligations, or claims under the Product Liability Act.

6. In the event of data loss, the Provider is only liable for damage that would have occurred even if the Customer had performed adequate, regular data backups appropriate to the risk.

7. Unless expressly agreed otherwise, all Customer claims arising from warranty or damages (excluding tort claims) are subject to the statutory limitation periods.

§9 Data Protection

For detailed information regarding data processing and your statutory rights, please refer to the Provider's Privacy Policy, available at: https://shop.bxgtech.de/privacy-policy

§10 Copyright

The Provider owns all copyrights in all images, videos, and texts published on its website. Any use of such materials without the Provider's express prior written consent is strictly prohibited.

§11 Final Provisions

1. This contract is governed exclusively by the laws of the Federal Republic of Germany, excluding the United Nations Convention on Contracts for the International Sale of Goods (CISG).

2. If the Customer is a merchant, a legal entity under public law, or a special fund under public law, the exclusive place of jurisdiction for all disputes arising from this contract is the Provider's registered seat.

3. Should any provision of these GTC be or become invalid or unenforceable, the validity of the remaining provisions shall not be affected. The invalid/unenforceable provision shall be replaced by the valid provision that most closely approximates the economic intent of the original provision.
